Applicability

Who Can File MGT-7A?

MGT-7A is intended for OPCs and eligible Small Companies — not every company.

01

One Person Company (OPC)

An eligible OPC files its annual return in the prescribed abridged form.

02

Small Company

A company satisfying the statutory definition of a Small Company can use MGT-7A, subject to exclusions.

03

Current Small Company Threshold

Paid-up share capital ≤ ₹10 crore and turnover ≤ ₹100 crore (from 1 Dec 2025), subject to other conditions under Section 2(85).

04

Not for Every Private Company

Meeting numerical thresholds alone is not enough if the company falls within an excluded category.

05

Correct Form Selection

The correct form depends on the company's legal classification for the relevant financial year.

06

Separate from AOC-4

Annual return (MGT-7A) and financial statement filing (AOC-4) are separate statutory compliances.

Timeline

MGT-7A Filing Due Date

Under Section 92(4) of the Companies Act, 2013, the annual return is generally required to be filed with the Registrar within 60 days from the date on which the AGM is held.

60 days from AGM date If AGM not held — from the date it should have been held OPC has separate annual compliance treatment Always calculate from actual AGM / applicable rules

Late filing can attract additional MCA fees and create issues during due diligence, corporate transactions and subsequent filings.

Avoid These Errors

Common Mistakes in MGT-7A

Incorrect form selection or mismatched data can create avoidable compliance issues.

Filing MGT-7A without checking OPC / Small Company applicability and exclusions
Using old Small Company limits instead of the revised thresholds (from 1 Dec 2025)
Share capital mismatch — paid-up capital exceeding authorised capital
Incorrect shareholder or director details not matching company records
Incorrect meeting dates or attendance information
Confusing AOC-4 (financial statements) with MGT-7A (annual return)
