Close Your Inactive LLP Through MCA Form 24

If your LLP is no longer carrying on business or operations and you want to formally close it, LLP Form 24 provides the prescribed route for applying to the Registrar of Companies (RoC) for striking off the LLP's name from the register.

An LLP cannot simply be considered closed because it has stopped doing business. Under Section 75 of the LLP Act, 2008 read with Rule 37 of the LLP Rules, 2009, an LLP that has not been carrying on business or operation for one year or more can apply for striking off its name, subject to the applicable conditions.

Overview

What is LLP Form 24?

Form 24 is the prescribed MCA application for striking off the name of an LLP from the Register of LLPs. It is intended for an LLP that is no longer carrying on business or operations and wants to formally apply for removal of its name from the MCA register.

The application is governed by Section 75 of the Limited Liability Partnership Act, 2008 read with Rule 37 of the LLP Rules, 2009.

One Year or More of Inactivity

An LLP can apply where it has not been carrying on business or operation for a period of one year or more, with the consent of all partners.

Status Becomes "Strike Off"

Upon approval of Form 24, the status of the LLP is changed to "Strike off" on the MCA records.
