Form DIR-11 is the MCA form used for giving notice to the Registrar of Companies regarding the resignation of a director from a company.

Under Section 168(1) of the Companies Act, 2013 read with Rule 16 of the Companies (Appointment and Qualification of Directors) Rules, 2014, a resigning director may forward a copy of the resignation along with the reasons for resignation to the Registrar through Form DIR-11 within 30 days from the date of resignation, along with the prescribed fee.

Overview

What is DIR-11?

DIR-11 is the Notice of Resignation of a Director to the Registrar. It provides a mechanism for a director who has resigned from a company to intimate the RoC about the resignation, along with the effective date, reasons for resignation, resignation letter and proof of dispatch/submission to the company.

Director's Own Intimation

The resigning director forwards the resignation copy and reasons to the Registrar within 30 days.

Does Not Replace DIR-12

The company separately reports cessation of the director through DIR-12 — DIR-11 does not by itself remove the director from company records.

Effective Date Must Match DIR-12

Where DIR-12 has already been filed, the effective resignation date in DIR-11 should match the cessation date in DIR-12.

Where the company has already filed DIR-12 under Rule 15, a resigning foreign director may authorise another person in writing to sign and file DIR-11 on their behalf, communicating the reasons for resignation.
